Integrity Trees at Checkout

Effective Date: June 23, 2026

These Terms and Conditions ("Terms") govern the use of the Integrity Trees at Checkout application ("Service") provided by Integrity Reforestation Inc. ("Integrity Reforestation", "we", "us", or "our").

By installing, accessing, or using the Service, you ("Merchant" or "you") agree to be bound by these Terms.

1. Definitions

Customer means an individual who purchases goods or services from a Merchant's Shopify store and may choose to contribute to tree planting through the Service.

Integrity Trees at Checkout means the Shopify application operated by Integrity Reforestation Inc.

Integrity Reforestation means Integrity Reforestation Inc., a corporation incorporated under the laws of Ontario, Canada.

Merchant means the owner or operator of a Shopify store that installs or uses the Service.

Service means Integrity Trees at Checkout, including all associated software, functionality, reporting tools, integrations, and tree-planting contribution features.

2. Description of the Service

The Service allows Merchants to offer Customers the option to fund post-wildfire tree planting through their purchases.

The Service also allows Merchants to make direct financial contributions toward tree planting.

The Service tracks and displays contributions made by Customers and Merchants through the Merchant's Shopify store.

Integrity Reforestation administers the tree-planting program. Tree planting activities are performed by Integrity Reforestation or its contractors.

The Service facilitates funding for tree planting but does not guarantee any specific planting date, planting location, tree species, project, or planting schedule unless expressly stated in writing by Integrity Reforestation.

Integrity Reforestation may determine, in its sole discretion, the location, timing, methods, contractors, and implementation of tree-planting activities funded through the Service.

Integrity Reforestation is not a registered charity and does not issue charitable donation receipts or tax receipts for contributions made through the Service.

The Service currently funds one tree for every $2.00 CAD contributed. Pricing may be changed by Integrity Reforestation in accordance with these Terms.

3. Tree Planting Program

Tree planting funded through the Service is intended to support post-wildfire forest restoration projects.

Integrity Reforestation will plant one tree for every $2.00 CAD contributed through the Service.

Trees funded through the Service will be planted by hand by Integrity Reforestation's planting crews or by qualified subcontractors engaged by Integrity Reforestation.

Integrity Reforestation will conduct or arrange tree planting activities in accordance with applicable laws, regulations, permits, and sustainable forest management requirements in the jurisdictions where planting occurs.

Integrity Reforestation will use commercially reasonable efforts and industry-recognized reforestation practices to maximize the likelihood of successful forest establishment and long-term tree survival.

Integrity Reforestation may determine, in its sole discretion, the location, timing, methods, contractors, species selection, and implementation of tree planting activities funded through the Service.

Merchant acknowledges that reforestation activities are affected by factors beyond Integrity Reforestation's control, including weather conditions, wildfire activity, seedling availability, labour availability, access restrictions, regulatory requirements, and other natural or operational factors.

4. Carbon Credits and Environmental Attributes

Neither Merchant nor any Customer shall acquire, claim, register, sell, transfer, retire, monetize, or otherwise assert any ownership interest in any carbon credits, carbon offsets, emissions reductions, carbon removals, environmental attributes, biodiversity credits, ecosystem service credits, or similar rights arising from tree planting activities funded through the Service.

Unless expressly authorized in writing by Integrity Reforestation, contributions made through the Service may not be used as the basis for the creation, issuance, registration, verification, sale, transfer, retirement, or marketing of any carbon credit, carbon offset, environmental credit, or similar instrument.

Merchant shall not represent to Customers, regulators, investors, certification bodies, or any other third party that contributions made through the Service entitle Merchant or its Customers to ownership of any carbon credits, offsets, environmental attributes, or similar rights.

All rights, title, and interest in and to any carbon credits, carbon offsets, environmental attributes, biodiversity credits, ecosystem service benefits, or similar environmental instruments associated with tree planting funded through the Service are reserved by Integrity Reforestation or the applicable project owner unless expressly agreed otherwise in writing.

5. Billing, Fees, and Refunds

Billing for the Service is managed through Shopify's billing platform.

The Service currently charges $2.00 CAD per tree funded through the Service. Integrity Reforestation reserves the right to modify pricing in accordance with these Terms.

Merchants are billed on a recurring 30-day billing cycle for all tree planting contributions made through their store, including contributions made by Customers and contributions made directly by the Merchant.

Each Merchant establishes a spending limit, which represents the maximum amount that may be charged through the Service during a billing cycle.

If the spending limit is reached before the end of a billing cycle:

(a) additional contributions cannot be accepted through the Service;

(b) the customer-facing tree planting widget will be temporarily removed from the Merchant's store until the spending limit is increased or a new billing cycle begins; and

Merchants may increase or reset their spending limit at any time through the Service. If the spending limit is increased, applicable Service features will be immediately restored.

If the spending limit is not increased, the spending limit will automatically reset at the beginning of the next billing cycle.

Integrity Reforestation shall not be responsible for any missed contributions, lost funding opportunities, or other losses resulting from a spending limit selected by the Merchant.

Refunds and Customer Returns

All contributions made through the Service are final and non-refundable.

Once funds have been contributed toward tree planting through the Service, those funds are allocated to the administration and implementation of tree planting activities and cannot be refunded, credited, exchanged, or reversed except where required by applicable law.

Customer returns, cancelled orders, product exchanges, chargebacks, or other transactions between a Merchant and its Customers do not entitle the Merchant or Customer to a refund of any tree planting contribution made through the Service.

Merchant is solely responsible for communicating its refund and return policies to its Customers and for addressing customer inquiries or disputes relating to tree planting contributions.

Amounts accrued or billed for tree planting contributions remain payable notwithstanding the suspension, termination, or uninstall of the Service.

If the Service is uninstalled, all functionality associated with the Service, including tree planting widgets, reporting features, and merchant contribution tools, will cease to operate.

6. Acceptable Use

Merchant shall use the Service only for lawful purposes and in accordance with these Terms.

Merchant shall not market, sell, sublicense, assign, transfer, distribute, or otherwise offer for sale any tree, tree planting service, reforestation service, or related environmental benefit obtained through the Service except as expressly contemplated by the Service and authorized by Integrity Reforestation.

Merchant shall not represent that it owns, controls, or has the right to independently sell, transfer, or convey any tree, tree planting activity, environmental attribute, carbon benefit, biodiversity benefit, or other interest arising from contributions made through the Service.

Merchant shall not use the Service to create, operate, or support any standalone tree sales, tree sponsorship, tree ownership, carbon offset, environmental credit, or similar program without the prior written consent of Integrity Reforestation.

For greater certainty, trees funded through the Service may not be resold, transferred, assigned, sublicensed, or otherwise commercialized by Merchant or its Customers.

Merchant shall not, and shall not permit any third party to:

(a) use the Service in any manner that violates applicable laws, regulations, or third-party rights;

(b) copy, reproduce, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of the Service, except as expressly permitted by applicable law;

(c) interfere with, disrupt, damage, impair, or compromise the integrity, security, operation, or performance of the Service or any related systems or networks;

(d) use automated means, bots, scripts, scraping tools, or other technologies to access, monitor, extract, or collect information from the Service except as expressly authorized by Integrity Reforestation;

(e) upload, transmit, or distribute viruses, malware, malicious code, or other harmful materials through the Service;

(f) use the Service in a manner that could damage the reputation, goodwill, or business interests of Integrity Reforestation;

(g) make false, misleading, deceptive, unsubstantiated, or exaggerated statements regarding tree planting activities, reforestation outcomes, environmental benefits, carbon benefits, biodiversity benefits, sustainability impacts, or other environmental attributes associated with the Service;

(h) represent that Integrity Reforestation endorses, certifies, verifies, or approves any environmental, sustainability, carbon, climate, or corporate responsibility claim made by Merchant unless expressly authorized in writing by Integrity Reforestation; or

(i) use the Service in any manner that is fraudulent, deceptive, abusive, harmful, or reasonably likely to create customer confusion regarding the nature of the tree-planting program or the use of customer contributions.

Integrity Reforestation may suspend or terminate Merchant's access to the Service if it reasonably believes that Merchant has violated this Section or engaged in conduct that may expose Integrity Reforestation to legal, regulatory, reputational, or operational risk.

7. Privacy Policy

Merchant acknowledges and agrees that use of the Service is subject to Integrity Reforestation's Privacy Policy.

The Privacy Policy describes how Integrity Reforestation collects, uses, stores, and discloses information in connection with the Service.

By installing or using the Service, Merchant agrees to the terms of the Privacy Policy.

8. Ownership and License

The Service, including all software, code, technology, designs, interfaces, content, documentation, trademarks, logos, trade names, reports, and other intellectual property associated with the Service, is owned by Integrity Reforestation and is protected by applicable intellectual property laws.

Subject to Merchant's compliance with these Terms, Integrity Reforestation grants Merchant a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely in connection with Merchant's Shopify store.

Merchant acquires no ownership interest in the Service or any portion thereof. Except for the limited license expressly granted under these Terms, no rights, title, or interests are granted to Merchant by implication or otherwise.

Merchant shall not remove, alter, obscure, or modify any copyright notices, trademark notices, proprietary legends, or other notices appearing within the Service.

All goodwill arising from Merchant's use of Integrity Reforestation's trademarks, trade names, or branding shall belong exclusively to Integrity Reforestation.

Integrity Reforestation may make logos, images, photographs, marketing materials, project information, impact reporting, and other promotional content available to Merchants for use in connection with the Service.

Subject to these Terms, Merchant may use such materials for the purpose of promoting its participation in the Service and communicating tree planting activities to Customers.

Merchant shall not modify, misrepresent, or use Integrity Reforestation's name, branding, materials, or content in a manner that is misleading, deceptive, defamatory, or otherwise inconsistent with the purpose of the Service.

9. Changes to the Service

Integrity Reforestation may modify, enhance, update, replace, suspend, or discontinue any aspect of the Service from time to time, including its features, functionality, integrations, reporting tools, user interface, or service offerings.

Integrity Reforestation may release updates, upgrades, patches, bug fixes, or other modifications to the Service at any time.

Merchant acknowledges that the Service may evolve over time and that specific features or functionality may be added, modified, or removed.

Integrity Reforestation may modify pricing applicable to the Service upon reasonable notice to Merchant. Continued use of the Service following the effective date of a pricing change constitutes acceptance of the revised pricing.

Integrity Reforestation reserves the right to discontinue the Service, in whole or in part, at any time. Where reasonably practicable, Integrity Reforestation will provide advance notice of any material discontinuation of the Service.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis.

While Integrity Reforestation will use commercially reasonable efforts to provide and maintain the Service, Integrity Reforestation does not warrant that the Service will be uninterrupted, error-free, secure, or available at all times.

To the maximum extent permitted by applicable law, Integrity Reforestation disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted use.

Nothing in this Section limits any warranty or condition that cannot be excluded under applicable law.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Integrity Reforestation, its officers, directors, employees, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages arising out of or relating to the Service.

Without limiting the foregoing, Integrity Reforestation shall not be liable for loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of customers, loss of data, business interruption, reputational harm, or other indirect or consequential losses, whether arising in contract, tort (including negligence), statute, or otherwise.

To the maximum extent permitted by applicable law, Integrity Reforestation's total aggregate liability arising out of or relating to the Service shall not exceed the total amount paid by Merchant to Integrity Reforestation through the Service during the six (6) months immediately preceding the event giving rise to the claim.

Integrity Reforestation shall not be liable for any losses arising from:

(a) outages, downtime, maintenance, or interruptions of the Service;

(b) failures or interruptions of Shopify or other third-party service providers;

(d) statements, representations, marketing claims, or communications made by Merchant; or

(e) events beyond Integrity Reforestation's reasonable control, including natural disasters, wildfire, flood, drought, labour disputes, governmental actions, telecommunications failures, cyberattacks, power failures, epidemics, pandemics, or acts of war.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

12. Indemnification

Merchant agrees to defend, indemnify, and hold harmless Integrity Reforestation, its officers, directors, employees, contractors, affiliates, and service providers from and against any claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or relating to:

(a) Merchant's use of the Service;

(b) Merchant's breach of these Terms;

(d) any statements, representations, advertising, marketing claims, environmental claims, sustainability claims, or customer communications made by Merchant;

(e) any allegation that Merchant misrepresented the nature, purpose, impact, or outcomes of tree planting activities funded through the Service;

(f) any dispute between Merchant and its Customers relating to contributions made through the Service; or

(g) Merchant's negligence, misconduct, fraud, or willful wrongdoing.

Integrity Reforestation reserves the right to participate in the defense of any claim subject to indemnification at its own expense.

Merchant shall not settle any claim in a manner that imposes liability, obligations, admissions, or restrictions on Integrity Reforestation without Integrity Reforestation's prior written consent.

13. Term and Termination

These Terms remain in effect for as long as Merchant accesses or uses the Service.

Merchant may terminate these Terms at any time by uninstalling the Service from its Shopify store and ceasing all use of the Service.

Integrity Reforestation may suspend or terminate Merchant's access to the Service, with or without notice, if:

(a) Merchant breaches these Terms;

(b) Merchant engages in conduct that may expose Integrity Reforestation to legal, regulatory, reputational, or operational risk;

(d) Shopify suspends, restricts, or terminates Merchant's Shopify account or access to Shopify services; or

(e) Integrity Reforestation discontinues the Service.

If Shopify removes, disables, restricts, or otherwise prevents operation of the Service within Merchant's Shopify store, Integrity Reforestation may suspend or terminate Merchant's access to the Service without liability.

Upon termination:

(a) Merchant's right to access and use the Service shall immediately cease;

(b) all licenses granted under these Terms shall automatically terminate;

(c) all functionality associated with the Service, including tree planting widgets, reporting tools, and merchant contribution features, shall cease to operate; and

(d) any provisions of these Terms that by their nature are intended to survive termination shall remain in effect, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

Termination shall not affect any rights, obligations, liabilities, or remedies that accrued prior to the effective date of termination.

Any amounts accrued or payable prior to termination shall remain due and payable notwithstanding the suspension, termination, or uninstall of the Service.

14. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between Merchant and Integrity Reforestation regarding the Service and supersede all prior or contemporaneous discussions, communications, understandings, and agreements relating to the Service.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

No failure or delay by Integrity Reforestation in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy.

Assignment

Merchant may not assign, transfer, delegate, or otherwise transfer any rights or obligations under these Terms without the prior written consent of Integrity Reforestation.

Integrity Reforestation may assign or transfer its rights and obligations under these Terms without restriction.

Amendments

Integrity Reforestation may update or modify these Terms from time to time. If a material change is made, Integrity Reforestation will provide reasonable notice through the Service, Shopify, email, or another appropriate method.

Merchant's continued use of the Service following the effective date of any updated Terms constitutes acceptance of the revised Terms.
